Talk Kro - Terms of Service

ATTENTION: These Terms of Service ("Terms") constitute a legally binding agreement between you and Talk Kro, governing your access to and use of our website, mobile applications, and all related products and services (collectively, the "Service").

By registering for or using the Service, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree, you must not use the Service.

1. The Service and Our Agreement

1.1 Acceptance of Terms

You must be at least 13 years old (or the minimum legal age in your country) to create an account and use the Service. If you are under 18, you represent that you have reviewed these Terms with your parent or legal guardian.

1.2 Amendments

We may update these Terms from time to time. If we make material changes, we will notify you through the Service, via email, or by other reasonable means. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.

2. Registration and Account Security

2.1 Real Name and Identity

You agree to provide accurate and truthful information during registration. You must use the name you use in everyday life for your profile. You may not impersonate any person or entity or misrepresent your identity, age, or affiliation.

2.2 Account Responsibilities

You are solely responsible for all activities that occur under your account. You must maintain the confidentiality of your password and notify us immediately if you discover any unauthorized use of your account. We are not responsible for any loss or damage arising from your failure to comply with this section.

2.3 Single Account Rule

You are limited to one active account on the Service. Creating multiple or alternate accounts without express written permission is prohibited and may result in the termination of all associated accounts.

3. Your Content and Intellectual Property Rights

3.1 Your Ownership

You retain ownership of the intellectual property rights in the content you create and share on Talk Kro, such as photos, videos, posts, and messages (collectively, "User Content").

3.2 License Grant to Talk Kro

To provide, operate, and promote the Service, you grant Talk Kro a non-exclusive, royalty-free, transferable, sub-licensable, worldwide license to host, store, run, use, distribute, modify, translate, copy, publicly perform, publicly display, and create derivative works of your User Content.

  • Duration: This license continues even if you stop using the Service, but only for the limited purpose of demonstrating content you shared with other users who have not deleted it (e.g., if you messaged a photo to a friend, that friend will retain a copy).

  • Deletion: When you delete your account or content, the license terminates, and we will make reasonable efforts to remove it from our systems, though backups may persist for a limited time.

3.3 License Grant to Other Users

You also grant other users of the Service a non-exclusive license to access your User Content as permitted by the nature of the Service and your privacy settings (e.g., viewing public posts, sharing content within the Service).

3.4 Feedback

If you provide us with any suggestions, feedback, or improvements regarding the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate such feedback without any obligation or compensation to you.

4. Prohibited Conduct and Community Standards

You agree that you will not use the Service to upload, post, share, or transmit any content or engage in any conduct that:

  • Violates Laws: Is unlawful, misleading, fraudulent, or promotes illegal acts.

  • Safety and Harm: Involves credible threats of violence, promotes self-harm, sexual exploitation of minors, or harassment and bullying (including targeting specific individuals).

  • Hate Speech: Attacks people based on protected characteristics (e.g., race, ethnicity, national origin, religious affiliation, sexual orientation, disability, or disease).

  • Obscene Content: Contains pornography, graphic sexual violence, or unsolicited explicit content.

  • Intellectual Property Infringement: Infringes upon or violates the copyrights, trademarks, privacy rights, or publicity rights of others.

  • Spam and Manipulation: Involves the use of automated means to access, collect, or interact with the Service (e.g., spamming, scraping, or botting).

  • Malware: Contains software viruses, worms, or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of the Service.

5. Enforcement and Termination

5.1 Content Removal

We reserve the right, but are not obligated, to review, screen, edit, or remove any User Content at our sole discretion, particularly if it violates these Terms or our Community Standards.

5.2 Suspension and Termination

We may suspend or permanently terminate your account immediately, without prior notice, if:

  • You materially violate these Terms or our Privacy Policy.

  • You create risk or legal exposure for us or other users.

  • We receive notice that you have repeatedly infringed upon the intellectual property rights of others.

5.3 Effect of Termination

Upon termination, your license to use the Service immediately ceases, and your access to your account and User Content may be permanently revoked.

6. Disclaimers and Limitation of Liability

6.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TALK KRO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE SECURE, ERROR-FREE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION.

6.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL TALK KRO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR CONTENT OR INFORMATION.

7. Indemnification

You agree to indemnify, defend, and hold harmless Talk Kro and its affiliates, officers, agents, and employees from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with (a) your access to or use of the Service; (b) your User Content; or (c) your breach of these Terms.

8. Dispute Resolution and Governing Law
